General Terms and Conditions of Sale Summary

General Information: These conditions apply to all agreements related to supply and services, including accessories and consultancy. Any changes require written consent.

Offer: Technical documents in offers are non-binding unless specified. Eurolls S.p.A. retains ownership and copyright of all documents, which cannot be shared without permission. Clients cannot claim damages for project suitability issues.

Price and Payment: Prices are Ex-Works, excluding additional costs. Payments are due within 30 days of invoicing. Late payments incur interest and may lead to contract termination if the client's financial status deteriorates.

Delivery Terms and Delays: Delivery dates are binding as confirmed in orders. Client-related delays extend delivery dates. Eurolls S.p.A. is not responsible for delays due to unforeseen events. Storage fees may apply for delayed shipments.

Limitation of Liability: Eurolls S.p.A. is not liable for contract breach compensation unless covered by warranty or due to gross negligence.

Transfer of Risks and Shipment: Risk transfers to the client upon consignment to the carrier. Insurance can be arranged at the client's request and cost.

Warranty; Liability for Defects: Defective parts will be replaced or repaired within 12 months. Claims must be made within 8 days of discovering defects. Warranty does not cover improper use or external factors.

Replacement and Improvement Costs: Eurolls S.p.A. covers replacement costs proportionate to materials and improvements, while transport costs are the client's responsibility. For international improvements, Eurolls covers technician costs as if domestic. Replaced parts have the same warranty as original goods, with the warranty period extended by downtime.

Liability for Modifications: Eurolls S.p.A. is not liable for damages from unauthorized modifications or repairs by the client or third parties.

Assembly and Testing: Clients must notify Eurolls S.p.A. four weeks in advance for testing. Payment cannot be delayed due to test results, and testing must occur within three months of delivery.

General Exclusion of Liability: Eurolls S.p.A.'s liability is limited to contract clauses, excluding rights like withdrawal or damage compensation unless due to gross negligence or premeditation by senior management.

Place of Performance and Contract Clauses: The place of performance is Eurolls' factory or service location. Ineffective clauses must be replaced with economically similar ones.

Prohibition of Contract Transfer: The client cannot transfer the contract.

Compliance with Legislative Decree 231/2001: The client must comply with the Decree, ensuring no actions expose Eurolls to penalties. The client indemnifies Eurolls against liabilities from Decree breaches.

Jurisdiction and Governing Law: Udine is the exclusive jurisdiction for disputes, with other matters governed by the Civil Code.

Different conditions are only admitted if stipulated in writing between the parties. I. Offer The technical documentation that forms a part of an offer is valid only as a general indication, unless it is expressly declared as binding. Eurolls S.p.A. reserves its rights of property and copyright on quotations, designs and all other documents which must not be disclosed to third parties without a specific approval. Furthermore Eurolls S.p.A. undertakes to disclose designs, declared by the Client to be confidential, to third parties only after receiving the Client's approval. As far as project studies are concerned, the Client expressly waivers any damage claims resulting from the suitability of the same project. The Client may only refuse to pay for projects, and cannot make any claims whatsoever, in connection with any errors contained therein. Such limitation of liability has been considered when determining the price of this contract. II. Price and Payment 1. Prices are on Ex – Works terms, excluding all packing, transport, insurance, and all other ancillary costs. 2. The payment for the total of each single invoice must be made within 30 (thirty) days from the date of invoice or within the deadline as agreed upon by the parties and indicated in the order confirmation, without any deductions, to the Eurolls S.p.A headquarters. 3. In case of failure to comply with payment deadlines, an annual interest rate is applied that will be equivalent to the official discount rate, valid at such time, increased by 4 (four) percentage points, without foregoing the right to demonstrate a greater damage. 4. In case of delayed payment or if the credit is compromised due to a worsening of the Client's financial rating, Eurolls S.p.A. has the right to demand the immediate payment of such credits, regardless of their actual expiry date and release of warranty, in default of which Eurolls S.p.A. has the right to withdraw from the contract. 5.
